Terms of Service

These Terms govern your use of the Vathus software, including the Mockingbird desktop application and the vathus.ai website (together, “the Service”). By installing, registering for, or otherwise using the Service, you agree to these Terms.

The Service is provided by the individual operating as Vathus (a United Kingdom sole trader). References to “we,” “our,” “us,” and “Vathus” mean that operator.

1. Eligibility

You must be at least 16 years old to use the Service. You must provide accurate information when registering and keep your account secure. You are responsible for activity under your account.

3. Bring-your-own-key (BYOK) disclaimer

If you paste a third-party API key (Anthropic, OpenAI, Deepgram, or similar) into the Service, you authorise the Service to call that provider on your behalf using your credentials. You remain responsible for any usage charges those providers bill to you directly, and for complying with each provider's own terms of service and acceptable-use policy. Vathus does not guarantee continued compatibility with any third-party API.

5. Intellectual property

The Service (including the source code, compiled binaries, designs, and brand assets) is licensed, not sold. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose for the duration of your subscription. All rights not expressly granted are reserved. You retain ownership of any content (documents, transcripts, rubrics) you upload or generate through the Service.

6. Disclaimer of warranties

The Service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free, or fit for any particular purpose. AI-generated outputs (suggestions, rewrites, practice scores) are probabilistic — verify any statement of fact before acting on it. To the maximum extent permitted by law, all implied warranties are disclaimed.

7. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall our total aggregate liability for all claims arising out of or related to the Service exceed the greater of (a) the amount you paid Vathus in the 12 months preceding the event giving rise to the claim, or (b) £50. We are not liable for indirect, incidental, consequential, or punitive damages, loss of profits, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited by law (including death, personal injury caused by negligence, or fraud).

8. Termination

You can cancel your subscription at any time from the customer portal. We can terminate or suspend access if you materially violate these Terms or if we cease offering the Service. On termination, you keep access until the end of the paid period, after which your account is disabled and your data is retained only for the periods described in the Privacy Policy.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

10. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or related to these Terms or the Service is subject to the exclusive jurisdiction of the courts of England and Wales, except where local consumer-protection law grants you additional rights that cannot be waived.
